3. Free Audits, Assessments, and Recommendations

From time to time, we may provide free audits, assessments, consultations, recommendations, or other preliminary materials.

Unless expressly agreed otherwise in writing:

  • these materials are provided for informational purposes;
  • they do not constitute a binding strategy, implementation plan, legal opinion, financial advice, or guarantee of results;
  • we are not required to implement any recommendation provided during a free consultation or audit; and
  • we may decline to provide an audit or consultation at our discretion.

You remain responsible for deciding whether and how to act on any preliminary recommendation.

4. Using Our Website

You may use our website only for lawful purposes and in accordance with these Terms.

You agree not to:

  • use the website in violation of applicable law or regulation;
  • attempt to gain unauthorized access to the website or its systems;

  • impersonate another person or entity;
  • submit false, misleading, fraudulent, or unlawful information;
  • use our website to infringe intellectual-property, privacy, publicity, or other rights of another person; or
  • use our website to develop or facilitate a competing service using our proprietary materials, systems, methodologies, or confidential information.

We may suspend or restrict access to the website where reasonably necessary for security, maintenance, legal compliance, investigation of misuse, or protection of our legitimate interests.

5. Intellectual Property

Unless expressly stated otherwise, all intellectual property rights in and relating to our website and its contents belong to us or our licensors.

This includes, without limitation:

  • website design and structure;
  • branding;
  • logos;
  • text;
  • graphics;
  • illustrations;
  • photographs;
  • videos;
  • templates;

Except as expressly permitted by these Terms or applicable law, you may not copy, reproduce, modify, distribute, publish, sell, license, create derivative works from, or commercially exploit our intellectual property without our prior written permission.

6. Client Deliverables and Intellectual Property

Ownership of deliverables created specifically for a paying client will be governed by the applicable Service Agreement.

Unless the applicable Service Agreement expressly provides otherwise, we retain ownership of:

  • pre-existing materials;
  • proprietary methodologies;
  • frameworks;
  • templates;
  • processes;
  • systems;
  • know-how;
  • reusable components;
  • libraries;
  • software;
  • scripts;
  • tools;
  • prompts;
  • internal documentation;
  • generalized strategies;
  • concepts;
  • techniques; and
  • other materials developed independently of the client’s specific project.

Where appropriate, we may incorporate our pre-existing materials into client deliverables. In such cases, the client receives only the rights expressly granted under the applicable Service Agreement.

7. Third-Party Platforms and Services

Our work may involve third-party platforms, providers, software, APIs, advertising networks, hosting providers, analytics services, AI systems, search engines, social-media platforms, payment processors, email providers, CRM systems, and other third-party services.

We do not control these third parties.

Accordingly, we are not responsible for:

  • changes to third-party services;
  • suspension or termination of third-party accounts;
  • algorithm changes;
  • policy changes;
  • outages;
  • API changes;
  • loss of functionality;
  • moderation decisions;
  • advertising disapprovals;
  • account restrictions;
  • search-engine penalties;
  • data loss caused by third parties;
  • pricing changes;
  • security incidents occurring within third-party systems; or
  • other actions or omissions of third-party providers.

You may be required to maintain your own accounts, subscriptions, licenses, payment methods, and compliance obligations with third-party providers.

8. Advertising Services

Where we manage paid advertising on your behalf, you acknowledge that advertising performance is affected by factors outside our control.

Unless expressly agreed otherwise:

  • advertising spend is separate from our service fees;
  • advertising platforms may reject, restrict, pause, modify, or terminate campaigns;
  • advertising platforms may change targeting, auction systems, policies, pricing, attribution, or available features;
  • we do not guarantee impressions, clicks, leads, conversions, revenue, ROAS, or any other advertising outcome; and
  • you remain responsible for ensuring that your products, services, claims, offers, promotions, and advertising materials comply with applicable laws and platform rules.

We may rely on information and assets supplied by you when creating or managing campaigns.

9. SEO and AI Search Services

SEO, search visibility, and AI-search optimization depend substantially on systems operated by independent third parties.

We do not guarantee:

  • any particular search-engine ranking;
  • inclusion in search results;
  • continued ranking;
  • featured snippets;
  • local-pack placement;
  • knowledge-panel placement;
  • AI-generated recommendations;
  • citations by AI systems;
  • inclusion in AI-generated answers;
  • visibility within any particular AI platform;
  • traffic levels; or
  • resulting leads or revenue.

Search engines and AI systems may change their algorithms, models, policies, interfaces, training data, indexing systems, ranking systems, or outputs without notice.

We have no control over how an independent search engine or AI system ultimately evaluates, indexes, ranks, cites, summarizes, recommends, or represents your business.

10. Client Responsibilities

Successful delivery depends on timely cooperation from the client.

You agree to provide, as reasonably required:

  • accurate information;
  • access credentials;
  • website access;
  • advertising-account access;
  • analytics access;
  • business information;
  • brand assets;
  • product and service information;
  • approvals;
  • feedback;
  • legally required notices and policies;
  • data necessary to perform the services; and
  • other reasonable cooperation.

You are responsible for ensuring that information, content, instructions, materials, data, and claims supplied by you are accurate, lawful, and suitable for their intended use.

We are not responsible for delays, additional costs, errors, or performance issues caused by inaccurate information, incomplete information, delayed approvals, unavailable access, client changes, or other client dependencies.

11. Client Materials and Authority

You represent and warrant that you have all rights, permissions, licenses, consents, and authorizations necessary for us to use the materials, information, data, trademarks, content, images, software, and other assets that you provide to us or instruct us to use.

You authorize us to use those materials solely as reasonably necessary to provide the agreed services.

You are responsible for obtaining any required consent, authorization, disclosure, license, or permission from your customers, employees, contractors, users, or other third parties.

12. Compliance and Client Claims

Unless expressly included in a Service Agreement, we do not provide legal, tax, accounting, regulatory, medical, financial, or other regulated professional advice.

You are responsible for ensuring that your business, products, services, claims, advertising, website, content, promotions, data practices, and customer communications comply with laws and regulations applicable to your business.

This is particularly important where your business operates in regulated industries or jurisdictions.

Our marketing, copywriting, design, automation, or strategic recommendations should not be treated as legal advice.

13. AI Tools and Outputs

We may use artificial-intelligence systems and other automated tools in providing services.

AI-generated or AI-assisted outputs may contain errors, omissions, inaccuracies, bias, unsupported statements, or other defects.

Unless otherwise agreed in writing:

  • AI output is subject to human review and professional judgment;
  • we do not guarantee that AI-generated material is accurate, complete, original, non-infringing, or suitable for a particular purpose;
  • you remain responsible for reviewing and approving material before publication or use;
  • you should not rely on AI-generated output as legal, medical, financial, tax, or other regulated professional advice; and
  • AI systems may change their functionality, terms, models, outputs, availability, or pricing without notice.

Where client confidential information or personal data is processed using an AI or third-party system, the applicable privacy and data-processing arrangements will govern such processing.

14. Confidentiality

Each party may receive confidential information belonging to the other party.

Each party agrees to:

  • use confidential information only for purposes of performing or receiving the applicable services;
  • protect confidential information using reasonable safeguards; and
  • not disclose confidential information to third parties except as permitted by the applicable agreement or required by law.

Confidential information does not include information that:

  • is publicly available through no breach of obligation;
  • was already lawfully known to the receiving party;
  • is independently developed without use of the confidential information; or
  • is lawfully received from a third party without confidentiality restrictions.

These obligations survive termination for so long as the information remains confidential, subject to applicable law.

15. Privacy and Data Protection

Our processing of personal data is described in our Privacy Policy.

Where we process personal data on behalf of a client as a processor under applicable data-protection law, the parties will enter into an appropriate Data Processing Agreement (“DPA”) where required.

The DPA may incorporate applicable standard contractual clauses or other lawful international-transfer mechanisms where required for cross-border transfers.

For GDPR purposes, the parties acknowledge that their respective roles depend on the particular processing activity. A party may be a controller, processor, or joint controller depending on the circumstances and applicable law.

Nothing in these Terms requires either party to process personal data in a manner that violates applicable data-protection law.

16. International Clients and Cross-Border Services

We are based in the European Union and may provide services to clients located in the United States and other jurisdictions.

The parties acknowledge that providing services internationally may involve cross-border transfers of information and access to systems located in different countries.

Where legally required, the parties will cooperate in implementing appropriate safeguards for international data transfers.

17. Fees, Payment, and Taxes

Fees, billing schedules, payment terms, expenses, and applicable taxes will be set out in the applicable Service Agreement or invoice.

Unless otherwise agreed in writing:

  • invoices are due within the stated payment period;
  • payment obligations are not contingent upon achieving a particular business result;
  • you are responsible for applicable taxes, duties, levies, and similar charges imposed on your purchase of services, except taxes imposed on our net income;
  • third-party advertising spend, software subscriptions, media spend, hosting, domains, licenses, and other external costs are not included in our fees unless expressly stated;
  • we may charge reasonable expenses incurred in providing services where agreed or reasonably necessary; and
  • disputed amounts must be raised promptly and in good faith.

If an invoice becomes overdue, we may, subject to applicable law and the Service Agreement:

  • suspend services;
  • suspend access to deliverables or systems;
  • pause campaigns;
  • withhold further work;
  • charge lawful interest or late-payment charges; and/or
  • recover reasonable collection costs.

18. No Set-Off

To the maximum extent permitted by applicable law, you may not withhold, offset, or reduce amounts owed to us based on alleged claims, disputes, losses, or counterclaims unless expressly agreed by us in writing or required by mandatory law.

19. Changes, Revisions, and Scope

Services are limited to the scope agreed in the applicable Service Agreement.

Requests outside the agreed scope may result in additional fees, revised timelines, or a new statement of work.

We are not obligated to perform additional work merely because it is related to the original project.

Where a project requires client approval, we may rely on the client’s approval as authorization to proceed.

20. Timelines

Any project dates, estimates, milestones, launch dates, delivery dates, or completion dates are estimates unless expressly identified in writing as binding.

We are not responsible for delays caused by:

  • client dependencies;
  • third-party providers;
  • technical failures outside our reasonable control;
  • changes in scope;
  • delayed approvals;
  • unavailable information or access;
  • force majeure events; or
  • other circumstances beyond our reasonable control.

21. Suspension and Termination

Termination rights will be governed primarily by the applicable Service Agreement.

Unless otherwise agreed, we may suspend or terminate services where:

  • invoices remain unpaid;
  • the client materially breaches the agreement;
  • continued performance would expose us to material legal, security, ethical, or reputational risk;
  • the client requests unlawful conduct;
  • the client provides materially false or misleading information;
  • necessary access or cooperation is not provided;
  • the client becomes insolvent or ceases business; or
  • continued performance becomes impracticable due to circumstances outside our reasonable control.

Termination does not eliminate payment obligations accrued before termination.

22. Effect of Termination

Upon termination:

  • amounts properly due remain payable;
  • each party must return or delete confidential information where required, subject to lawful retention requirements;
  • licenses granted solely for the duration of the engagement may terminate;
  • third-party services and subscriptions remain subject to their own terms;
  • work already completed or committed may remain payable; and
  • provisions intended by their nature to survive termination will continue to apply.

23. Disclaimers

To the maximum extent permitted by applicable law, the website and any general information provided through it are provided on an “as is” and “as available” basis.

We do not warrant that:

  • the website will always be available;
  • the website will be uninterrupted or error-free;
  • information will always be complete, accurate, or current;
  • the website will be free from security vulnerabilities;
  • defects will always be corrected; or
  • the website will meet every particular requirement or expectation.

Nothing in these Terms excludes or limits any warranty, right, or remedy that cannot lawfully be excluded or limited.

24. Limitation of Liability

To the maximum extent permitted by applicable law, our total aggregate liability arising out of or relating to these Terms, the website, or the services will not exceed the fees actually paid to us by the relevant client for the specific services giving rise to the claim during the twelve (12) months immediately preceding the event giving rise to the claim.

To the maximum extent permitted by law, we will not be liable for:

  • indirect loss;
  • consequential loss;
  • incidental loss;
  • special loss;
  • punitive or exemplary damages;
  • loss of profits;
  • loss of revenue;
  • loss of business;
  • loss of anticipated savings;
  • loss of opportunity;
  • loss of goodwill;
  • loss of reputation;
  • loss of customers;
  • loss of data;
  • loss resulting from third-party platforms; or
  • business interruption.

These exclusions apply regardless of the legal theory on which a claim is brought, including contract, tort, negligence, breach of statutory duty, misrepresentation, restitution, or otherwise, except to the extent prohibited by mandatory law.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited, including liability for fraud or fraudulent misrepresentation, or any other liability that applicable mandatory law requires to remain unlimited.

25. Client Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, contractors, and agents from and against third-party claims, losses, liabilities, damages, costs, and reasonable legal fees arising from or relating to:

  • materials or information supplied by you;
  • your products or services;
  • your business practices;
  • your advertising claims;
  • your violation of applicable law;
  • your violation of third-party rights;
  • your breach of these Terms or a Service Agreement;
  • your misuse of our services;
  • your instructions to us; or
  • your failure to obtain required rights, licenses, consents, or permissions.

We will provide reasonable notice of a claim subject to applicable law, and you may not settle a claim in a manner that imposes liability or obligations on us without our prior written consent.

26. Our Personnel and Subcontractors

We may use employees, contractors, consultants, specialist providers, and subcontractors to provide services.

We remain responsible for the performance of services we have agreed to provide, subject to the limitations and exclusions contained in the applicable agreement.

Nothing in these Terms creates an employment, partnership, agency, fiduciary, franchise, or joint-venture relationship between the parties.

27. No Exclusivity

Unless expressly agreed otherwise in writing, our relationship with a client is non-exclusive.

We may provide services to other businesses, including businesses operating in similar industries.

We will not knowingly disclose one client’s confidential information to another client.

28. Portfolio and Marketing Rights

Unless prohibited by the applicable Service Agreement or agreed otherwise in writing, you grant us permission to identify you as a client and display your business name, logo, and publicly available information for portfolio, case-study, website, presentation, and marketing purposes.

Any confidential information will remain subject to our confidentiality obligations.

If you require complete confidentiality regarding our relationship, that requirement should be expressly stated in the applicable Service Agreement.

29. Feedback

If you voluntarily provide suggestions, ideas, feedback, testimonials, or recommendations concerning our services, we may use that feedback without restriction, provided that doing so does not disclose your confidential information.

30. Links to Third-Party Websites

Our website may contain links to third-party websites.

These links are provided for convenience only.

We do not control and are not responsible for third-party websites, their content, security, privacy practices, availability, products, services, or terms.

Accessing third-party websites is at your own risk.

31. Force Majeure

Neither party will be liable for delay or failure to perform caused by circumstances beyond its reasonable control, including natural disasters, war, terrorism, civil unrest, government action, epidemic or pandemic, labor disputes, telecommunications failures, infrastructure failures, power outages, cyber incidents, internet failures, third-party platform failures, supply-chain disruptions, or other events that could not reasonably have been prevented or overcome.

The affected party will use reasonable efforts to mitigate the impact.

32. Changes to These Terms

We may update these Terms from time to time.

The updated version will become effective when posted on the website unless a different effective date is stated.

Your continued use of the website after an updated version becomes effective constitutes acceptance of the updated Terms, to the extent permitted by applicable law.

Changes to the commercial terms of an existing client engagement will not automatically modify the applicable Service Agreement unless the Service Agreement permits such modification.

33. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent, except where such restriction is prohibited by mandatory law.

We may assign or transfer these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or transfer of substantially all of our business, provided that applicable legal requirements are satisfied.

34. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be modified or limited to the minimum extent necessary to make it enforceable, where legally permissible.

The remaining provisions will continue in full force and effect.

35. No Waiver

A failure or delay by either party to exercise a right under these Terms does not constitute a waiver of that right.

A waiver must be expressly given and does not constitute a waiver of any future breach.

36. Entire Agreement

For website use, these Terms, together with our Privacy Policy and any other policies expressly incorporated by reference, constitute the agreement governing your use of the website.

For paid services, the applicable Service Agreement constitutes the primary agreement governing the commercial relationship.

Where there is a conflict between these Terms and a signed Service Agreement, the Service Agreement will control with respect to the specific services and obligations covered by it.

37. Governing Law and Dispute Resolution

These Terms will be governed by the laws of Romania, without regard to its conflict-of-law rules.

The courts of Romania will have exclusive jurisdiction over disputes arising from or relating to these Terms, except where applicable mandatory law provides otherwise.

For clients located in the United States or another jurisdiction, nothing in this section is intended to deprive either party of rights that cannot lawfully be waived or to override mandatory jurisdictional requirements.

For larger engagements, the parties may instead agree in the Service Agreement to confidential arbitration or another dispute-resolution mechanism.

38. Notices

Legal notices relating to these Terms should be sent to:

KAVO DIGITAL

A notice will be considered received in accordance with applicable law or, where the parties have agreed otherwise in writing, according to the notice provisions in the applicable Service Agreement.

39. Electronic Communications

You agree that communications with us may occur electronically.

Electronic communications, approvals, confirmations, proposals, invoices, and other records may be used to document the parties’ relationship to the extent permitted by applicable law.

40. No Third-Party Beneficiaries

Except where expressly stated otherwise, these Terms do not create rights enforceable by any third party.
